Purpose
The Hazelden Governance Committee shall oversee the governance performance of the Board and regularly report to the Board on results, action and progress.
Membership
The Governance Committee shall consist of from five to seven members, at least two of whom do not serve on the Executive Committee or as an officer of the Board.
Duties
The Committee shall:
1. Nominate Trustees and officers at the annual meeting of the Board and at other meetings when vacancies occur.
2. Design and implement a Board orientation and education process.
3. Design and implement a process to measure Board performance.
4. Design and implement a self-evaluation process for monitoring individual Trustee's effectiveness.
5. Review Board and Trustee roles and job descriptions on an ongoing basis.
6. Assess Board composition and identify, recruit and cultivate future board members with the qualifications needed by Hazelden.
7. Provide advice and counsel concerning regional board relationships.
8. Review the Board's committee structure on an ongoing basis.
9. Assist the Board and assigned committees regarding succession planning for the President and senior management.
