  Board of Governors -- Hazelden Graduate School of Addiction Studies
Section 1. Organization

The Hazelden Board of Governors shall have general charge, control and regulation of the Graduate School of Addiction Studies (the "School") and general oversight of all budgetary and capital appropriations authorized for the School by the Board of Trustees of the corporation. The Board of Governors shall be selected by the Board of Trustees of the corporation and have five to seven members, at least two of whom shall be Trustees of the corporation and a majority of the remainder shall have significant experience in higher education. A Hazelden Trustee shall be designated Chair of the Board of Governors by the Chair of the Board of Trustees of the corporation. The President and Chief Executive Officer of the corporation shall be an ex-officio member of the Board of Governors. The President and Chief Executive Officer of the corporation is the chief executive officer of the School and as such is responsible for the general direction of its affairs. The President shall submit for approval to the corporation a proposed operating and capital budget for the School on an annual basis.

Section 2. Dean of the School

The Dean is the chief educational and administrative officer of the School, reporting to the President and Chief Executive Officer of the corporation, and is selected by and serves at the direction and discretion of the President. In the event of the death, disability, or prolonged absence of the President, or at the request of the President, the Dean shall perform the function of the President until some other appointment or arrangement is made by the corporation. Subject to the authority of the President, the Dean shall direct educational policies and activities of the School. The Dean shall cause the operating and capital budgets to be prepared on the basis as requested by the Chief Financial Officer of the corporation. The Dean shall serve as liaison to the Board of Governors and shall be ex-officio a member of every faculty committee.

Section 3. Responsibilities of Board of Governors

The Board of Governors shall function procedurally as a committee of the Board of Trustees of the corporation, follow the procedures and be subject to the applicable standards under the Minnesota nonprofit corporation act. Meetings shall be held at least three times per calendar year. The functions of the Board of Governors shall be as follows:

(a) Oversight and final approval of the following:

(i) Grant of faculty status and rankings;
(ii) New academic programs or the elimination of academic programs;
(iii) Monitoring and review of the quality of educational offerings within the School, including admissions, retention rations, graduation rates, employment statistics and licensure examination success;
(iv) All School policies, including those relating to faculty status and rankings.

(b) Review and approval of the following (subject to final approval through the consent agenda by the Foundation Board of Trustees):

(i) Mission statement of the School, subject to the overall mission of the corporation; and
(ii) Strategic plan of the School, consistent with the mission and strategic plan of the corporation.
(c) Make recommendations to the Board of Trustees for its approval in the following areas:
(i) Annual operating budget;
(ii) Annual capital budget;
(iii) Any changes in the fundamental mission of the School;
(iv) Development (fundraising) program for the School;
(v) Growth of the School; and
(vi) Declaration of financial exigency, closure of the School or retrenchment, in accordance with policies adapted by the School.

In the event a recommendation of the Board of Governors is not approved by the Board of Trustees, the matter will be returned to the Board of Governors for its further consideration and revision, and re-submitted to the Board of Trustees.

Section 4. Faculty

The faculty of the School, subject to the responsibilities and authority of the Board of Governors, the President and the Dean, has the primary responsibility for student learning, and shall actively participate in the School's policies. Faculty status and rank is granted on recommendation of the Dean, to the Board of Governors.

Faculty shall be defined to include the Dean, Assistant Dean, Professors, Associate Professors and Assistant Professors.
